Legal basis

• Law on Investment 2014, amended and complemented in 2017;
• Decree 118/2015/ND-CP guiding the implementation of law on investment;

Dossier for establishment including:

• Application form for the FIE establishment in Vietnam;
• Charter of the FIE in Vietnam;
• List of members of the FIE inVietnam;
• Copy of identity card, ID card or passport or other legitimate personal identification of members of the FIE being an individual; written authorization and legitimate identification document of the authorized; decision on the establishment or business registration certificate of the FIE founders being an organization (business registration certificate need to be consular legalized);
• Investment registration certificate of foreign investors in the category which requires an IRC in accordance with the Law on Investment.

Enterprises shall submit dossier directly at the Department of Planning and Investment of the district where the FIE headquarter is located.

According to Decree 50/2016/ND-CP on penalties for administrative violations against regulations of planning and investment, the act of project implementation before an IRC is issued shall be fined up to 80.000.000VND and be forced to implement remedial measures.
