Law on Enterprise 2014 and documents guiding to implementation.

Investment form

Investors are foreign individuals, enterprises, organizations contributing capital, purchasing shares of 100% Vietnamese capital enterprises.

1. Purchase first time released shares or additional released shares of joint stock company (JSC) from the company or the shareholders;
2. Contribute capital to company limited in the form of purchase of portion of capital contribution from company’s members;
3. Contribute capital to Vietnamese enterprises in other forms.

Dossier includes:

• Application form for registration of capital contribution, purchase of shares, portion of contributed capital with the following items: informations on economic organization that the foreign investor intends to contribute capital, purchase shares, portion of contributed capital; charter capital own percentage of foreign investor after contributing capital, purchasing shares, portion of contributed capital of economic organization;
• Copy of identity card, ID card or passport in the case of investor being an individual; copy of establishment certificate or other equivalent documents certifying legal status in the case of investor being an organization (this document has to be consular legalized and translated and notarized in accordance with Vietnamese law);

Payment are regulated as below:

According to Circular No. 19/2014/TT-NHNN dated 11/8/2014 of State Bank of Vietnam, payment for trade in investment capital in the FIE have to be processed through foreign direct investment capital account of that enterprise. Therefore, when a foreign investor contributes capital, the enterprise has to open a foreign direct investment capital account at a bank in Vietnam; could be opened with VND or foreign money, based on the money used in investment capital contribution.
